• Simple;
• Neutral in effects of business;
• Clear (understandable);
• Structured to minimize "non-compliance";
• Enable IRS to predict the timing and amount of revenue; and 
• Not reduce the economic growth (and efficiency) - efficiency is in relation to the knowledge that is prevalent.
