A subsidiary is essentially a corp, that is controlled by another corp. The controlling corp is your parent company. The control is usually through owning the majority of common stock. Also note, that a subsidiary is a separate legal entity. Therefore, the parent's company risk associated with the subsidiary's activity is then limited.
